                              PRIVATE AGREEMENT ON THE LEASE OF RESIDENCE

                          agreed and mutually accepted the following:

                          The  Lessor  has  in  his  absolute  ownership,  possession,  and  detention  an

                          apartment of  an area of 91 square meters which is located on the first floor of
                          the apartment block which is located at no. 2$, $$$ Str. and which comprises 2

                          bedrooms,  a  living  room,  an  ancillary  room,  a  bathroom,  a  kitchen  and
                          independent heating (hereinafter called the ‘leasehold’) which he leases to the

                          Lessee under the understated terms and covenants:
                          1.  The term of the lease is designated at 2 years and commences from 26/10/$$

                              until 26/10/$$ (minimum term: three- year duration).

                          2.  The rent throughout the term of the first and second lease year is designated
                              at the sum of 350.00 euro monthly and is paid in advance within the first 3

                              days of each calendar month.

                              For the 3  only year of the lease the rent shall be readjusted at the rate of
                              the inflation as it is established from the records of the Bank of Greece for
                              the immediately previous twelve months. The payment of the lease shall be

                              made by the Lessee to the residence of the Lessor or wherever else the latter

                              indicates and shall be evidenced by a written proof of the Lessor or his agent,
                              excluding any other evidentiary means even including the oath. The Lessee

                              regards the aforesaid rent as fair and reasonable and promises that he will

                              pay even if he on any ground which pertains to the Lessee does not make
                              use of the leasehold.

                              The leasehold shall be used as the residence of the Lessee and his family
                              which however does not acquire lease rights. There is absolutely prohibited

                              any conversion of the use of the leasehold as also the in toto or the in parte
                              sublease, or the under any title with or without consideration, concession of

                              the use of the leasehold to a third party without the express written consent

                              of the Lessor.
