events shall be able to take place without negating the common - benefit character of the
Foundation.
j) Any other appropriate means in the judgement of the Board of Directors of the Foundation.’

Article 8
Competences of the Board of Directors

1. The Board of Directors constitutes the supreme administrative organ of the Foundation, determines
the general guidelines, the method of the activity of the Foundation, has full power of care,
administration and management of the property, the matters and the interests of the Foundation,
and resolves on any general matter as well as on the disposition of the resources of the Foundation
for the realisation of its purposes.
Indicatively:
a) It manages freely and in accordance with its judgment the assets of the Foundation. In the
management is included also the in its judgment investment of property assets of the
Foundation, the sale and the purchase of real properties, securities, and other property assets,
the acceptance of donations with or without terms, the lease or the lease rental of immovables
or the repair of immovable, the conclusion of loans with or without the performance of real
security on the real properties of the Foundation, the settlement, if any, of its disputes with third
parties etc.
b) It drafts the budget, the balance sheet, and the report of the Foundation, which are filed to the
Ministry of Finance for approval.
c) It resolves upon a proposal by the President or also the General Director on the recruitment of
the necessary personnel of the Foundation and its museums, with any in their judgment legal
relationship (e.g. by a contract of indefinite or definite duration etc.). It determines the rights,
the obligations and the more specific duties of the aforestated personnel, as well as its
remuneration, in accordance with the terms of the collective wage agreements and the
provisions in general of labour legislation. Insofar as there is fulfilled an immediate need for
the recruitment of personnel this recruitment can be resolved jointly by the President and the
General Director of the Foundation. The Board of Directors can draft by a simple resolution
the Staff Regulations of Internal Operation of the services of the Foundation.
d) It brings trials, performs seizures, records prenotices and mortgages, consents for their waiver,
waives privileges, trials or means of review, settles and concedes arbitrations, acquires or
constitutes in rem rights of movables and immovables etc. This enumeration of the rights and
powers of the Board of Directors is not restrictive but merely indicative.
2. The Board of Directors can assign and grant to one or more of its members special and concrete
authorisations for the exercise of all in accordance with the above rights thereof, the representation
of the Foundation, the exercise of the administration and the execution of its resolutions
determining simultaneously also the scope of these authorizations.
